Davivienda Group S.A. informs the market that its Panamanian subsidiary Davivienda Global S.A. made a capital investment of US$120,000 in Rojo Re. Limited (hereinafter Rojo Re.) by subscribing to all the shares issued by that company. Rojo Re. is a company domiciled in Bermuda and its corporate purpose is to carry out insurance and reinsurance activities.

Davivienda Group S.A. reports that on December 1, 2025, there was an increase in its share capital, due to the contribution made by Scotiabank, through its subsidiary Scotia Colombia Holdings Inc (SCH), of Scotiabank's operations in Colombia, Costa Rica, and Panama, and cash resources. As a result of this contribution, Davivienda Group's subscribed capital increased to COP$108,981 million, represented by 436,008,931 common shares and 169,443,753 preferred shares.

Davivienda Group S.A. announces that it has successfully completed the integration of Scotiabank's operations in Colombia, Costa Rica, and Panama into Davivienda. Scotiabank's current operations in Colombia and Costa Rica, which are being integrated into Davivienda's operations, will continue to be managed separately under the DAVIbank brand.
